1.        Charitable Purposes:

 

The advancement of citizenship or community development.

 

2.        Activities:

Organise and install Crieff’s Christmas light display, Christmas trees and entertainment associated with the switch-on event. This includes the raising of funds required to purchase, maintain, and store lights and Christmas decorations and associated activities for this purpose.

The raising of funds through a variety of activities which currently include the operating of a Country Town Market, requesting donations, Issuing of collection cans to local businesses etc.

To work alongside, where possible, other local community groups, for the benefit of Crieff.

 

3.        Powers:

The group are enabled to:

a.      To operate a bank account in the groups’ name.

b.      To take such steps as may be deemed appropriate for the purpose of raising funds for the groups’ activities.

c.       To accept donations, grants and legacies of all kinds and to accept any reasonable conditions attaching to them.

d.      To work with other voluntary and community bodies with similar interests.

 

4.        Committee Members:

Shall number a maximum of eleven members In total, excluding office bearers numbering four members. Chairman, Vice Chairman, Secretary & Treasurer.

Committee members shall have been/be elected by committee vote and the maximum period they can serve on the committee Is 24-months from the date this constitution was signed and every 24- months thereafter. At that time, they may either step-down or stand for re-election.

All members of the committee shall have the right to receive notice of, to attend, speak and vote at Committee meetings.

Committee membership may be revoked for meeting attendance falling below 50% of Committee meetings, without reasonable grounds and notification to chair.

 

5.        Volunteer Membership:

Membership of the group shall be open to any local resident(s) who are proposed and seconded by current committee members.

Volunteer members shall have the right to receive notice of, to attend, speak and vote at an Annual General Meeting.

Volunteer members may attend general meetings, but they are not required to as their only commitment Is to participate In group events.


6.        Register of Members:

The Secretary shall maintain an accurate Register of Volunteer & Committee Members, which shall include the full name, address, e-mail address and telephone number of each member and the date to which he/she was admitted to membership.

Contact Information provided is only for Internal communication use within the group members and shall not be passed to third parties, unless express permission is given by the member(s) in advance.

 

7.        Meetings:

Meetings of the committee shall take place as required, the aim being to hold a minimum of 6 committee meetings per year.

An Annual General Meeting shall take place annually in the month of September

At least fourteen days’ notice of an Annual General Meeting shall be given to all members.  The business of the meeting shall include:

a.   Reports by the Committee members & Office Bearers

b.   Appointment or election of Committee vacancies. Presentation of accounts.

c.   Appointment of Independent examiners of the accounts for the next year.

 

8.        Procedure at all meetings:

   Quorum

No business shall be transacted at any General Meeting unless a quorum is present. The quorum at a meeting of the group shall be 5 committee members and 1 office bearer.

 

All questions arising at any meeting shall be decided by a simple majority of the votes cast. In the event of a tied vote, the Chair shall have a casting vote.  Arrangements for proxy voting may be made from time to time by the Committee.

Minutes.

Minutes shall be taken by the Secretary (or nominated member present) for all General Meetings. These shall include a note of all present and a record of proceedings, resolutions and decisions.

 

9.        Finance:

Crieff at Christmas shall operate a bank account in the name of the group.

Three members of the Committee, one of whom shall be Treasurer, shall be authorised to sign cheques.  Two signatures shall be necessary on all cheques. The Group’s annual financial year shall run from 1st July to the 30th of June each year:  with effect from July 2016.

None of the group’s assets may be distributed or otherwise applied (on being wound up or at any other time) except to further its charitable purposes.

It is the responsibility of the Committee & Office Bearers to oversee strict and accurate keeping of    accounting records.

10.    Amendments to the Constitution:


This constitution may be amended by a resolution passed by at least two thirds of the committee members present and voting at a properly convened Emergency General Meeting of the group.  The notice calling the EGM shall include notice of the resolution setting out the terms of the amendment proposed.

 

11.    Dissolution and Disposal of Assets:


This group may be dissolved by a resolution passed by at least two thirds of the committee members present and voting at a properly convened Emergency General Meeting of the group. The notice of the meeting shall Include notice of the proposed resolution.


In the event that a resolution to dissolve the group is passed, any assets remaining after the settlement of debts shall be given to such organisations or groups as may be deemed to have similar charitable purposes as those of the group.
